Terms of Service

Welcome to Adspirer. These Terms of Service (“Terms”) are a binding agreement between you and BETSONAGI LLC, d/b/a Adspirer (“Adspirer,” “we,” “us,” or “our”) and govern your use of our marketing analytics and advertising automation platform, including our dashboard, APIs, Model Context Protocol (“MCP”) server, ChatGPT connector, AI client integrations, and related services (the “Service”).

By accessing or using the Service, or by clicking to accept these Terms during onboarding, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Service.

1. Acceptance of Terms and Eligibility

• You must be at least 18 years old to use our services.
• You must have the legal authority to enter into these Terms, on your own behalf or on behalf of the entity you represent.
• The Service is intended for business and commercial use.
• You represent that all information you provide is accurate and complete.

2. Account Authorization & Access

By connecting ad accounts to Adspirer, you confirm that:

• You have admin or manager-level access to every ad account you connect.
• If you are an agency connecting client accounts, you have obtained written authorization from each client to manage their advertising through Adspirer.
• You have the necessary page access, billing access, and permissions required to create and manage campaigns on each connected account.
• Your connected accounts are in good standing — they are not currently suspended, under review, or subject to prior policy violations or bans by the advertising platform.
• Your accounts have proper billing configured and, where applicable, conversion tracking set up before running campaigns.
• You are solely responsible for verifying that each account meets the platform’s eligibility requirements before connecting it to Adspirer.
• You are responsible for maintaining the security of your account, keeping your credentials confidential, and for all activity that occurs under your account. Notify us promptly of any unauthorized access.

3. How Adspirer Works

Adspirer executes campaign operations on your behalf through advertising platform APIs, including but not limited to Google Ads, Meta Ads, LinkedIn Ads, TikTok Ads, Amazon Ads, ChatGPT Ads, and any additional platforms supported in the future. To protect your accounts, we enforce built-in safeguards:

• Rate limits — restrictions on the number of campaigns, ad sets, and ads that can be created per hour and per day.
• New account protections — stricter limits during the first 48 hours after connecting a new ad account.
• Cooldown periods — automatic pauses after high-volume activity to prevent triggering platform anomaly detection.
• Burst controls — per-minute operation caps across all connected accounts.

These safeguards exist to keep your accounts in good standing with each advertising platform. They are not optional and cannot be bypassed.

4. AI, Automation & Your Duty to Review

Adspirer is an AI-assisted, automation-driven platform. Campaign actions — including budgets, bids, targeting, creative, status changes, and other settings — may be proposed and executed by AI assistants, connected AI clients, and automated systems, based on the instructions, prompts, and values generated in your session. You understand and agree that:

• AI-generated and automated outputs can be inaccurate, incomplete, or unexpected, and may include incorrect values (for example, budget or bid amounts). This is an inherent characteristic of AI systems.
• Adspirer surfaces changes to you for review and confirmation. You are responsible for reviewing every proposed and applied change — before and after it goes live — and for confirming that all values, especially budgets and bids, are exactly what you intended.
• A confirmation, preview, or on-screen figure within Adspirer or a connected AI client is an aid, not a guarantee of correctness. The authoritative record of what is actually applied to your account is always the advertising platform itself (for example, Meta Business Manager or Google Ads).
• You are responsible for monitoring your connected ad accounts directly and for promptly pausing, correcting, or reporting any anomaly. You agree to take reasonable steps to mitigate any impact.
• To the maximum extent permitted by law, Adspirer is not liable for advertising spend, budget overruns, or other outcomes arising from AI-generated, automated, or agent-driven actions, and you waive claims against Adspirer for such spend or outcomes. Your remedy for any Adspirer error is subject to the Limitation of Liability in Section 9.

5. Your Responsibilities

By using Adspirer, you agree to:

• Comply with all advertising platform policies, community guidelines, and advertiser integrity standards for every platform you connect.
• Review campaigns created or changed through AI assistance before and after they go live.
• Monitor your ad account health dashboards regularly (e.g., Meta Account Quality, Google Ads Policy Manager, or equivalent tools on other platforms).
• Not use Adspirer to create misleading, deceptive, or policy-violating advertisements.
• Take full responsibility for all ad content, targeting, creative assets, and ad spend incurred through your connected accounts.
• Comply with all applicable advertising laws and regulations in your jurisdiction.
• Set appropriate budgets and actively monitor spend across all connected accounts.

6. Fees, Billing & Refunds

• Subscription fees are billed in advance on a recurring basis, and you authorize automatic billing to your payment method until you cancel. Annual plans renew on the anniversary of purchase. We email you before a renewal is charged.
• 48-hour refund. If you ask to cancel within 48 hours of a subscription charge, we will refund that charge in full. Write to otto@adspirer.com from the email address on your account.
• After 48 hours, subscription fees are non-refundable except where required by law. We may still issue a refund at our sole discretion; doing so is not an admission of liability. Where we issue a discretionary refund, we may retain a cancellation fee of up to 15% of the amount paid, together with payment processing costs that are not returned to us.
• One-time purchases, including the Agent Playbook, are delivered on payment and are not refundable.
• Cancellation. You can cancel at any time from Home → Manage subscription. Cancellation takes effect at the end of the period you have paid for; that period is not pro-rated, and your access continues until it ends.
• Advertising spend is separate. All advertising spend is charged directly by the advertising platforms to your own accounts. Adspirer does not receive, hold, manage, process, or control your ad spend, and does not fund, refund, or reimburse advertising spend under any circumstances.
• You are solely responsible for setting appropriate budgets and monitoring spend across all connected accounts. Adspirer is not liable for unexpected costs, budget overruns, or unauthorized charges on your advertising accounts.

7. Platform Enforcement

Advertising platforms use their own internal, automated systems to review accounts and enforce their policies. The criteria these platforms use to flag, restrict, or suspend accounts are proprietary and are not publicly disclosed. Account restrictions can occur for a wide range of reasons — including account history, billing issues, geographic signals, browsing environment, ad content, or activity patterns — many of which are outside the visibility or control of any third-party tool, including Adspirer. You acknowledge that:

• Enforcement decisions are made solely by the respective advertising platform — not by Adspirer. Adspirer has no influence over or insight into these decisions.
• If your ad account is flagged or restricted, Adspirer will provide audit logs of all actions taken through our service upon request, to help you in any appeals process with the advertising platform.
• Adspirer cannot unblock, unsuspend, or appeal on behalf of your ad account. Account recovery is solely between you and the advertising platform.
• Adspirer is not responsible or liable for any account suspensions, bans, ad disapprovals, or revenue loss arising from advertising platform enforcement actions, regardless of whether such actions occur during or after use of Adspirer.

8. Adspirer Platform Policies & Third-Party Integrations

To maintain a safe and compliant environment for all users, Adspirer reserves the right to take action on accounts that violate our policies:

• Accounts found creating policy-violating, fraudulent, or abusive advertisements may be suspended or removed from the Adspirer platform.
• Attempting to circumvent rate limits or safety guardrails — including through multiple accounts, parallel sessions, or external automation — may result in immediate suspension.
• If we determine your account must be removed, we will provide reasonable advance notice and delete your data from our servers. Your ad accounts on the connected advertising platforms are unaffected — only your access to Adspirer is removed.
• The Service integrates with third-party advertising platforms. Your use of those platforms is governed by their own terms; you must comply with them. We are not responsible for changes to, or outages of, third-party APIs or platforms.

9. Disclaimer of Warranties & Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OR AUTOMATED OUTPUTS WILL BE ACCURATE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADSPIRER’S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE AMOUNT YOU PAID FOR YOUR MOST RECENT MONTHLY ADSPIRER SUBSCRIPTION. ADSPIRER IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY ADVERTISING SPEND, LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to indemnify, defend, and hold harmless Adspirer, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from your use of the Service, your advertising content or spend, or your violation of these Terms or any advertising platform policies.

10. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved through binding arbitration in Delaware. You agree to bring claims only in your individual capacity, and not as a plaintiff or class member in any class or representative proceeding.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by the “Last updated” date above and, where appropriate, communicated to you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
